Description

This CLE program offers attorneys a practical examination of the EB-5 Immigrant Investor Program and its application in development finance. It surveys the program’s statutory and regulatory framework, including the EB-5 Reform and Integrity Act of 2022, and the immigration process that shapes investor expectations. The course then addresses how EB-5 capital is structured and deployed within a project’s capital stack, the job creation requirements that govern its use, and the relationships among the principal stakeholders to an EB-5 transaction.

The program further considers the securities law framework applicable to EB-5 offerings and the cross-border considerations that arise when foreign capital is brought into a U.S. investment, including source-of-funds and fund-transfer issues. Attendees will leave with a working framework for identifying and analyzing the principal legal issues presented in EB-5 transactions.

Lecturer Bio

Peter Zhang, Esq.

Peter Zhang advises clients on corporate and securities matters, with a particular focus on capital-raising, financial regulatory compliance, and investment-based immigration, including the EB-5 Immigrant Investor Program.

Peter represents both established and emerging companies throughout the business lifecycle and has extensive experience advising overseas entrepreneurs and high-net-worth investors seeking access to U.S. capital markets. His practice encompasses the financial services, real estate, blockchain technology, and healthcare sectors, with a focus on corporate governance, regulatory compliance, and private securities offerings.

Peter has particular experience with Regulation Crowdfunding (Reg CF), Rule 506(c), Regulation A+, and the EB-5 program, as well as obtaining regulatory approvals from the U.S. Securities and Exchange Commission (SEC) and the Financial Industry Regulatory Authority (FINRA).

Investment-based immigration is a select focus of Peter’s practice. He regularly represents investors and entrepreneurs from diverse national and cultural backgrounds, as well as regional centers, developers, and other EB-5 stakeholders.

Peter has been recognized by Super Lawyers as a “Rising Star” in securities and corporate finance. He is fluent in English and Mandarin Chinese.
