This CLE program examines the immigration consequences that arise in corporate mergers, stock or asset acquisitions, joint ventures, and internal restructurings. U S employers engaged in these transactions must address the continued maintenance of work authorization for foreign national employees, the preservation of petition validity, and the potential successor in interest obligations created under federal immigration law.

The session guides participants through the principal regulatory frameworks that govern these situations and offers practical strategies for counsel who support transactional teams. Emphasis is placed on early due diligence, document review, risk identification, and post closing compliance planning.

The material is intended for corporate attorneys, in house counsel and immigration practitioners who wish to strengthen their understanding of how immigration issues can affect or even delay a transaction. Real world scenarios, checklists, and model language for due diligence requests are included.

Lecturer Bio

Ari Farkas

Ari Farkas exclusively focuses on U.S. immigration and nationality law as it pertains to business and individuals both inside the U.S. and abroad. He counts amongst his clients C-level executives, international personalities, family offices, government officials, investors, financial institutions, scientists, consultants, start-up founders, as well internationally acclaimed artists, chefs and performers, and their families. All told, Ari has represented individuals and entities, both for profit and nonprofits from over 70 countries.

Ari advises clients on business immigration matters as well as employment authorization compliance. Ari's practice also includes advice and due diligence reviews focused on immigration law issues in mergers, acquisitions, and/or restructuring transactions.

Additionally, Ari has been appointed to the Board of Directors of both Multinational Companies and International Nonprofits, and heads up the firms Pro Bono efforts, which is a matter of great pride for the firm.
