DescriptionAs data leaks and hacks become increasingly prevalent, the importance of privacy laws becomes even more critical. This is particularly true when dealing with SaaS. This CLE course will explain the newest trends in privacy laws as well as their impact on SaaS contracts. The course will provide an overview of best practices for drafting risk allocation clauses and offer an in-depth look at two of the most significant clauses – indemnification and limited liability – from the perspective of both vendors and customers. Lecturer BiosRick M. Olin, Esq.Rick M. Olin is a Principal at GTC Law Group, where his practice focuses on transactional matters, including: M&A and technology transfer; compliance areas such as data privacy and security, and information management matters; as well as general business counseling to GTC’s technology and media clients. Prior to joining GTC, Rick served as Vice President, General Counsel and Secretary of several technology and media companies, including, most recently, TechTarget, Inc. (NASDAQ: TTGT) from October 2006 to November 2012, where his responsibilities included serving as legal advisor to management, providing executive and legal support for M&A, financings, international activities and other strategic relationships, as well as for transactions involving TechTarget’s online and event properties, and for managing TechTarget’s IP portfolio and corporate compliance programs. Rick holds a B.A. from Brandeis University, an M.Ed. from Harvard University and a J.D. from Northeastern University. Lee Rone, Esq.Lee Rone is the General Counsel of IntelAgree, where he is responsible for negotiating the company’s key contracts with customers, vendors, and partners. He is also an active participant in IntelAgree’s product design and development process and serves as an advisor to the company’s customer success, data science, and implementation teams. Mr. Rone has extensive experience designing contract templates, drafting and negotiating commercial agreements, handling data privacy matters, and developing contracting workflows for both cloud and on-premise software companies. This work places him at the intersection of contract practice, data governance, and the AI-enabled tooling now reshaping both — the focus of this program. Before joining IntelAgree, Mr. Rone served as one of the lead transactional attorneys for Global 500 SaaS company SAP America, Inc. He holds a Juris Doctor from Whittier Law School and a Bachelor of Arts in political science from Texas A&M University.
